Joseph Carrozzi AM
Independent Non-Executive Chair
Info

Joseph Carrozzi is an experienced board member and Chair and has over 25 years of experience as a managing partner in the ‘Big 4’ professional services firms. His expertise has been in taxation, infrastructure and other highly regulated sectors (including health, energy, transport and water).

He is currently the Chair of the HealthCo Healthcare & Wellness REIT (ASX: HCW), Centenary Institute for Medical Research, the Angus Knight Group (a private employment services business), while also serving on several boards including National Intermodal Corporation, the NSW Business Chamber and ServiceGen Pty Ltd. Joseph was formerly Chair of the Sydney Harbour Federation Trust and a Governor of Western Sydney University.

He has degrees in Laws and Commerce from UNSW and is admitted as a Barrister in NSW and on the UNSW Dean’s Council for the Faculty of Medicine.

David Di Pilla

David is the Founder and Group Managing Director and Chief Executive Officer of HMC Capital (ASX: HMC).

HMC Capital is a leading ASX-listed diversified alternative asset manager focused on real estate, private equity, energy transition and digital infrastructure.

HMC currently manages ~ $20bn of AUM across listed and unlisted strategies on behalf of institutional, high net worth and retail investors.

Since establishing HMC Capital, David has been involved in some of Australia’s most significant corporate transactions including; Sigma/Chemist Warehouse merger, acquisition of Masters Home Improvement and creation of DigiCo Infrastructure REIT.

Prior to establishing HMC Capital, David had a 20 year career in investment banking. David was a Managing Director and Senior Advisor at UBS, Australia for 15 years and during his time he advised some of Australia’s largest companies on M&A, debt and equity capital transactions.

Michael Juniper

Michael Juniper is a digital-infrastructure leader with over two decades of experience building and scaling hyperscale platforms across Asia-Pacific.

Michael was instrumental in shaping AirTrunk before it was even established as a business, working on the business plan from the initial concept and during the pre-funding phase, and then becoming its first founding executive.

As a key architect of the founding executive team, he played a decisive role in transforming AirTrunk from an idea into Asia-Pacific’s most valuable data-centre platform. Relocating from Australia to Singapore, he drove the company’s regional expansion, leading successful entries into markets including Singapore, Malaysia, Hong Kong and Japan. Michael was responsible for building the commercial engine that secured multi-billion-dollar, long-term contracts with the world’s largest cloud and technology companies. These partnerships underpinned AirTrunk’s growth trajectory and culminated in its landmark ~A$24 billion valuation in the Blackstone transaction.

Earlier, at Metronode, Michael held senior leadership roles as Co-General Manager and Head of Business Operations. He led commercial growth, enterprise and government contract wins, and operational performance, positioning Metronode as one of Australia’s premier data-centre operators. This success laid the groundwork for its acquisition by Equinix, a defining transaction in the Australian market.

After formally finishing his role at AirTrunk in December 2024, Michael has concentrated on personal investments and consultancy roles within the data-centre industry.

Michael holds a Juris Doctor (Honours) from Bond University and a Bachelor of Commerce (Accounting & Finance) from the University of Melbourne.

Rachel Grimes AM

Rachel Grimes AM is an experienced Non-Executive Director of HUB24, Platinum, Australian Payments Plus, Accounting Professional and Ethical Standards Board and Loreto Ministries Limited. Rachel is a member of the Financial Reporting Council and is the Chair of the Surfing Australia Finance, Audit and Risk Committee.

Rachel is the past President of the International Federation of Accountants (IFAC) from 2016 to 2018. Rachel was the President of Chartered Accountants in Australia in 2011 and was the State Chair of NSW in 2004. In 2022, Rachel was appointed a Member of the Order of Australia for significant service to business in the field of accountancy and to professional associations.

The Hon. Kelly O’Dwyer

The Hon. Kelly O’Dwyer previously served in the Australian Parliament as a Senior Cabinet Minister holding a number of key economic portfolios including Minister for Jobs and Industrial Relations, Minister for Revenue and Financial Services, Minister for Small Business, and Assistant Treasurer. She also served on the Cabinet’s Budget Committee (the Expenditure Review Committee) and held the portfolios of Minister for Women, as well as Minister Assisting the Prime Minister with the Public Service.

Prior to entering Parliament, the Hon. Kelly O’Dwyer worked in law, government and finance and brings insights across a range of sectors including funds management, superannuation, workplace relations, foreign investment, law and banking.

The Hon. Kelly O’Dwyer is also a Non-Executive Director of EQT Holdings Limited (ASX: EQT), HMC Capital Limited (ASX: HMC), HealthCo Healthcare & Wellness REIT (ASX: HCW), Barrenjoey Capital Partners Group Holdings Pty Ltd and the National Reconstruction Fund Corporation.

Stephanie Lai has over 25 years of experience, is an experienced listed company Non-Executive Director, a Chartered Accountant and a former Transaction Services partner of Deloitte and KPMG. She has significant experience providing due diligence and advisory services, including forecast reviews to listed entities, sovereign wealth funds, wealth managers and private equity.

Stephanie is also a Non-Executive Director of Future Generation Investment Company Limited (ASX: FGX), HomeCo Daily Needs REIT (ASX: HDN), HealthCo Healthcare & Wellness REIT (ASX: HCW) and was formerly a Non-Executive Director of Superloop (ASX: SLC).

Stephanie has a Bachelor of Business from the University of Technology, Sydney and is a Graduate Member of the Australian Institute of Company Directors and Chartered Accountants Australia and New Zealand.

Chris Maher

Chris Maher is Managing Director, Group Head of Government & Strategic Programs, and currently Interim CEO for DigiCo Infrastructure REIT. Chris has significant experience in asset management, finance and digital infrastructure in Asia Pacific and the U.S.

Chris joined HMC Capital in 2024 and played a key role in the formation and listing of DigiCo Infrastructure REIT on the Australia Securities Exchange (ASX: DGT) and the acquisitions of the DigiCo data centre assets in Australia and the U.S.

Chris has more than 20 years’ experience in digital infrastructure. This includes roles at Brookfield Asset Management and 10 years at Telstra where he was the Chief Operating Officer of InfraCo (Telstra’s digital infrastructure business).

Simon Mitchell

Simon joined HMC Capital in 2023 and has over 26 years of extensive experience in professional finance roles across investment banking research, private equity, and accounting. He joins the Group following a 7-year tenure as Managing Director and Head of Investment Research at UBS in Australia and New Zealand.

Simon’s career includes 13 years as a Senior Investment Analyst, specialising in the Industrial and Infrastructure sectors at both UBS and JP Morgan. Before venturing into investment research, he spent 6 years in private equity at Close Brothers in London, and corporate restructuring at KPMG.

He holds a Bachelor of Commerce/Law from the University of Queensland and is a qualified Chartered Accountant.

Rita is a Senior Legal Counsel and Assistant Company Secretary at HMC Capital. Rita is an experienced corporate lawyer with a background in advising on equity capital markets transactions, domestic and cross-border M&A transactions and general corporate advisory matters. Rita supports the HMC Capital team by acting on the legal, governance, regulatory and compliance affairs of the business.

Prior to joining HMC Capital, Rita was a Senior Associate in the corporate transactional practice group at leading global law firm, Baker McKenzie.

Rita holds a Bachelor of Laws and a Bachelor of Commerce from the University of Sydney and is admitted to practice in Australia.

Denis Larkan

Denis is a technical leader and Innovator with over 20 years of Data Centre design, construction, pre-sales and operations experience.

He was part of the foundational team at Airtrunk Data Centres, spending the previous 7 years designing and delivering over 300 MW IT of Data Centres throughout APAC.

His design and development strategies focus on lowest Capex, Opex and PUE, ensuring attractive sell prices and high rates of return for the investors.

Denis holds a Bachelors degree in Mechanical Engineering from the University of Natal in South Africa and has held registrations as a Certified Professional Engineer in multiple jurisdictions including South Africa, Canada, USA and Australia.

Murray Goldring joined HMC Capital from Global Switch Australia, where he served as Operations Director since 2011. Prior to Global Switch Australia, Murray was the Senior Facilities Contracts Manager for Brookfield where he managed the development of various high-rise commercial and residential buildings.

Bryan Marsh

Bryan Marsh has nearly 42 years of real estate experience and was previously Chief Executive Officer of StratCap. Before joining StratCap Data Centres, Bryan Marsh was a Vice President at Digital Realty where he served as the company’s Portfolio Manager for its US Central region. Bryan graduated from the University of North Texas with a Bachelor of Business Administration degree with a double major in finance and real estate.

Chris Flynn has more than 25 years of commercial real estate experience, and joined HMC Capital from StratCap, where he was previously Chief Investment Officer. Prior to joining StratCap, Chris was Vice President of Real Estate, Acquisitions and Development at EdgeConnex and managed to grow EdgeConnex from zero data centres in 2013 to a global presence with 40+ sites in North and South America and western Europe by 2018, and well over 300MW of capacity.
